Acceptance of Terms
By accessing or using the services provided by Osis ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services
Osis provides software development, application building, product scaling, and digital asset acquisition services. The specific scope, deliverables, and terms of any engagement will be outlined in a separate agreement between Osis and the client.
Intellectual Property
Unless otherwise specified in a separate written agreement, all intellectual property rights in work produced by Osis remain with Osis until full payment is received. Upon full payment, intellectual property rights transfer to the client as outlined in the applicable project agreement.
The Osis name, logo, and branding are our trademarks and may not be used without our prior written consent.
Client Responsibilities
Clients agree to:
- Provide accurate and timely information necessary for project completion
- Make payments according to the agreed-upon schedule
- Review and provide feedback on deliverables within reasonable timeframes
- Ensure all materials provided to Osis do not infringe on third-party rights
Payment Terms
Payment terms, including amounts, schedules, and methods, will be specified in individual project agreements. Late payments may be subject to interest charges and may result in suspension of services.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of an engagement. This obligation survives the termination of any agreement.
Limitation of Liability
To the maximum extent permitted by law, Osis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Osis, its founders, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
Termination
Either party may terminate an engagement as specified in the applicable project agreement. Upon termination, the client shall pay for all work completed up to the date of termination.
Warranties
Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the merchantability, fitness for a particular purpose, or non-infringement of our services. We do not guarantee specific results from the use of our services.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these terms shall be resolved in the appropriate courts.
Changes to These Terms
We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the modified terms.
